Terms of Use
These Terms of Use ("Terms") form a binding agreement between you ("you" or "User") and Unifinity ("Unifinity", "we", "us", "our") governing your access to and use of the Optimize application, websites at optimizehealth.ca and its subdomains, and any related services (collectively, the "Service"). By creating an account, signing in, or otherwise using the Service, you accept these Terms. If you do not accept them, do not use the Service.
1. The Service
The Service is a personal health and training tracker that lets Users log nutrition, body metrics, training, supplementation, dosing, and wellbeing check-ins, and view summaries computed from that data. The Service is provided on an "as-is" and "as-available" basis. We may change, suspend, or discontinue any part of the Service at any time without notice.
2. Eligibility and accounts
You must be at least 16 years old and capable of forming a binding contract under the laws of your jurisdiction to use the Service. The Service is not directed to children under 16; do not create an account for a minor.
Sign-in is delegated to a third-party identity provider (currently Microsoft and Google). You are responsible for maintaining the security of the identity-provider account you use to access the Service and for all activity that occurs under your Optimize account. Notify us immediately at support@unifinity.com if you suspect unauthorized access. You may not share, sell, or transfer your account.
3. Not medical advice
The Service is a tracking and visualization tool. It is not a medical device, not a substitute for professional medical advice, and is not intended to diagnose, treat, cure, or prevent any disease or health condition. Information displayed by the Service — including coaching nudges, energy-balance estimates, projected weight curves, macro recommendations, plan suggestions, and compound-tracking views — is informational only and may be inaccurate. Always consult a qualified healthcare professional before starting, stopping, or modifying any diet, exercise, supplement, or medication regimen. You are solely responsible for what you log in the Service and for any decisions you make based on it. Use of the Service is at your own risk.
4. Acceptable use
You agree not to, and not to permit any third party to:
- use the Service for anyone other than yourself, or log data on another person's behalf without their informed consent;
- interfere with, disrupt, probe, scan, or attempt to bypass the security, authentication, rate limits, or access controls of the Service;
- reverse engineer, decompile, disassemble, or attempt to derive source code from the Service except to the extent applicable law prohibits this restriction;
- scrape, crawl, or harvest data from the Service, or use any automated means to access it other than through the published interfaces;
- use the Service or any data obtained from it to train, evaluate, or fine-tune any machine-learning model without our prior written consent;
- upload or transmit content that is unlawful, infringing, defamatory, malicious, or harmful;
- impersonate any person or misrepresent your affiliation with any person or entity; or
- resell, sublicense, or otherwise commercially exploit the Service.
5. User content and your data
"User Content" means the entries, measurements, descriptions, photos, notes, plans, and other content you submit to the Service. As between you and Unifinity, you retain all rights in your User Content. You grant Unifinity a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, reformat, display, and otherwise process your User Content solely as necessary to operate the Service for you, to compute the summaries and features the Service provides, and to comply with applicable law.
You can export all of your User Content from Settings → Data, and you can delete individual entries from the page where they were logged. To delete your entire account and associated data, contact privacy@unifinity.com. See the Privacy Policy for details on collection, storage, retention, and your rights.
6. AI features
Some features of the Service (such as "Describe a meal", coaching nudges, and plan-builder suggestions) call a third-party large language model. The text or content you submit for those features is transmitted to the model provider for the duration of that request and may be processed by it in accordance with its terms. Outputs are machine-generated, best-effort estimates and may be incorrect, biased, or inappropriate. Do not rely on AI-generated outputs for nutrition, dosing, training, or medical decisions.
7. Intellectual property
The Service, including its software, design, text, graphics, logos, and the "Optimize" and "Unifinity" marks, is owned by Unifinity or its licensors and is protected by copyright, trademark, and other intellectual-property laws. Subject to these Terms, Unifinity grants you a personal, non-transferable, non-sublicensable, revocable licence to access and use the Service for your own personal, non-commercial use. No other rights are granted by implication, estoppel, or otherwise.
8. Third-party services
The Service interoperates with third-party services, including the identity providers used for sign-in, the AI provider used for AI-powered features, the barcode-lookup database used for food scanning, and the cloud platform on which the Service is hosted. Your use of those third-party services is governed by their own terms and privacy policies. Unifinity is not responsible for third-party services and disclaims any liability arising from them.
9. Fees
The Service is currently provided at no charge. Unifinity reserves the right to introduce paid features or subscription pricing in the future; if it does so, those terms will be presented to you before any charge is incurred and you may choose whether to continue using paid functionality.
10. Termination
You may stop using the Service and request deletion of your account at any time as described in Section 5. Unifinity may suspend or terminate your access to the Service, in whole or in part, with or without notice, if you breach these Terms, if required by law, or if continued operation becomes commercially or technically impractical. Sections that by their nature should survive termination (including Sections 3, 4, 5, 7, 11, 12, 13, 14, and 15) will survive.
11. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. UNIFINITY DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTED RESULTS.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL UNIFINITY OR ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE — WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY — EVEN IF UNIFINITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNIFINITY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID UNIFINITY FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) CAD $50.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above may not apply to you. In such jurisdictions, Unifinity's liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless Unifinity and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Service, (b) your User Content, (c) your breach of these Terms, or (d) your violation of any applicable law or the rights of any third party.
14. Governing law and dispute resolution
These Terms are governed by the laws of the Province of British Columbia, Canada, and the federal laws of Canada applicable therein, without regard to its conflict-of-laws principles. The parties agree to the exclusive jurisdiction of the courts located in Vancouver, British Columbia for any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.
15. General
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Unifinity regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full force. Unifinity's failure to enforce a provision is not a waiver of its right to do so later. You may not assign these Terms without Unifinity's prior written consent; Unifinity may assign these Terms freely. Notices to Unifinity must be sent to legal@unifinity.com.
16. Changes to these Terms
Unifinity may update these Terms from time to time. Material changes will be indicated by updating the "Effective" date at the top of this page and, where appropriate, by additional notice within the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
